Terms of Service

GrantLoop, Inc. (a Delaware C Corporation)

Last updated: October 18, 2026

1. Binding Agreement

1.1 By accessing or using any part of GrantLoop's services, software, applications, AI agents, tools, or technology, including web applications, email services, scheduled and automated tasks, browser automation, integrations with other services, data processing, artificial intelligence features, and any grant research, writing, or support work performed for you by our team (collectively, the "Service"), you or the entity you represent ("User") enter into a legally binding agreement with GrantLoop, Inc. ("Company," "we," "us"). If you do not agree to any part of these Terms, you must stop using the Service.

1.2 If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "User" means that organization. The organization is responsible for the actions of every person it invites to or allows to use its account.

1.3 The Service is offered for business and organizational use, not for personal, family, or household use.

1.4 If User and Company have signed a separate written agreement, order form, or statement of work, that document controls where it conflicts with these Terms. Otherwise these Terms and our Privacy Policy are the entire agreement between User and Company.

1.5 Company may require User to reaffirm acceptance of these Terms periodically as a condition of continued access to the Service.

1.6 These Terms are binding on User's successors, assignees, and affiliates.

2. The Service and Usage Restrictions

2.1 The Service provides AI-powered grant research, prospecting, writing, editing, and related assistance through web applications, email, automated agents, and other digital means, and may include work performed for User by Company personnel.

2.2 Prohibited Uses. User agrees NOT to: (a) reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, methods, or techniques used in the Service; (b) monitor, scan, probe, or test the Service's vulnerability, security measures, or performance; (c) use the Service to develop, train, improve, create, or inform any similar, competitive, or related product or service; (d) exceed usage limits, including volume, frequency, or pattern of requests, as determined by Company; (e) scrape, extract, harvest, collect, or store any data, content, or outputs from the Service for any purpose other than User's own legitimate use; (f) share, resell, rent, lease, sublicense, or distribute access credentials or access to the Service with any third party; (g) use the Service for any illegal, fraudulent, harassing, or deceptive purpose, or in violation of any law or regulation; (h) submit inputs designed to extract underlying prompts, algorithms, or system designs; (i) analyze patterns in responses to map or identify underlying mechanisms; (j) submit similar requests with variations to probe system capabilities or limitations; (k) attempt to evade, circumvent, or disable any security feature, usage limit, or technical measure; (l) access the Service through automated means, including scripts, bots, spiders, crawlers, or scrapers, unless explicitly authorized in writing by Company; (m) benchmark or conduct comparative analyses of the Service against competitive offerings; (n) introduce any virus, malware, or other malicious code; (o) impersonate any person or entity or misrepresent User's affiliation; (p) direct any AI agent to send spam, to contact people who have not agreed to be contacted where the law requires consent, or to access any website, system, or account User is not authorized to access; (q) copy, reproduce, or imitate the Service's user interface, design, look and feel, or workflows, or extract, export in bulk, or reconstruct the Service's databases or datasets (including funder, grant, and contact data), other than exporting User's own Outputs and User Content for User's own use.

2.3 Whether User has engaged in a prohibited use shall be determined by Company in its reasonable discretion.

3. Intellectual Property and Ownership

3.1 All intellectual property rights in the Service, including algorithms, models, prompts, system prompts, agent instructions, techniques, methodologies, processes, workflows, systems, user interfaces, look and feel, data models, databases, datasets and compilations of data (including funder, grant, and contact data, and their selection and arrangement), software, code, graphics, text, layouts, designs, and any underlying technology, and all improvements or modifications to them, remain the exclusive property of Company.

3.2 Your Outputs. As between User and Company, User owns the grant applications, documents, research, and other outputs the Service generates for User ("Outputs") and may use them for any lawful purpose, including submission to funders. Similar or identical outputs may be generated for other users, and User's ownership does not extend to those.

3.3 Feedback. Company owns all right, title, and interest in any improvement, enhancement, suggestion, modification, derivative work, or feedback related to the Service, regardless of origin. User irrevocably assigns to Company all right, title, and interest in any such feedback, and Company may use it without restriction or compensation.

3.4 All rights not expressly granted to User are reserved by Company.

4. How We Use Your Content and Usage Data

4.1 User Content. "User Content" means everything User and its members submit to or connect to the Service, including documents, files, chats, instructions, spreadsheets, emails, organizational information, and content from connected accounts, along with Outputs.

4.2 License to Us. User grants Company a non-exclusive, worldwide, royalty-free license to access, collect, store, copy, process, analyze, display, and otherwise use User Content to provide, operate, support, secure, maintain, and improve the Service and to develop new features and products, as described in this Section and in our Privacy Policy.

4.3 Learning From Use. User understands and agrees that Company learns from how the Service is used, and that this is how the Service improves. Company personnel and contractors, and automated tools including AI tools acting on Company's behalf, may read, review, and analyze User Content and usage data. This includes: (a) reading conversations, documents, and agent activity to understand how the Service performs and where it falls short; (b) studying the structure of User Content, such as the fields, columns, formats, and workflows User sets up; (c) running tests, evaluations, simulations, and experiments using User Content or material derived from it; (d) creating internal notes, examples, metrics, and test cases; and (e) using what we learn to change the Service's prompts, instructions, tools, defaults, and design for all users. Company keeps User Content it reviews confidential and does not disclose identifiable User Content outside Company except as described in our Privacy Policy.

4.4 Model Training. Company will not use identifiable User Content for Model Training without User's prior opt-in consent. "Model Training" means using User Content to train or fine-tune the parameters (weights) of a machine learning or artificial intelligence model. Model Training does not include the uses described in Section 4.3, including writing or improving prompts, instructions, tools, evaluations, or product design, and does not include sending User Content to AI providers to generate responses.

4.5 Usage Data and De-identified Data. Company owns data about how the Service is used (such as feature usage, performance, and activity logs) and data that has been aggregated or de-identified so it no longer identifies User or any individual. Company may use and share such data for any lawful purpose, including improving grant-seeking outcomes for other users and publishing aggregate insights.

4.6 No Sale. Company will not sell or rent User Content to third parties.

4.7 No Ownership Over Funder Materials. Company does not claim ownership over original grant questions or other materials produced by funders. The selection, compilation, arrangement, and structure of such materials within the Service are owned by Company.

5. AI Agents and Automated Actions

5.1 What Agents Can Do. The Service includes AI agents that can act with some independence, including researching the web, operating a web browser, filling in and submitting online forms, sending and receiving email, creating, editing, moving, and deleting content in User's workspace, running on a schedule without User present, and using accounts and services User connects.

5.2 Actions Are Taken on Your Behalf. When User or any of its members asks an agent to do something, enables a feature, approves an action, sets up a scheduled task, or connects an account, User authorizes the agent to take the resulting actions on User's behalf. Those actions are treated as User's actions, and User is responsible for them, including messages sent and forms submitted in User's name.

5.3 Agents Make Mistakes. AI output and agent actions can be inaccurate, incomplete, outdated, or invented, and agents can misread instructions, contact the wrong person, take an action User did not expect, or fail to finish a task. User is responsible for reviewing and verifying anything before relying on it, submitting it to a funder, or sending it to anyone, and for choosing which features, permissions, and connected accounts to enable. Company does not guarantee that any agent will complete any task, meet any deadline, or produce any particular result.

5.4 Third-Party Websites and Accounts. When an agent interacts with a third-party website or service, that interaction is subject to the third party's terms, and User is responsible for having the right to access any website, portal, or account User asks an agent to use, including any login credentials User provides.

5.5 Our Right to Limit Agents. Company may limit, pause, stop, or decline any agent action or feature at any time, including in the middle of a task, for any reason, including safety, security, cost, or abuse prevention.

6. Services Performed by Our Team

6.1 Where Company personnel research, draft, edit, or submit grant materials for User, they do so based on information User provides and approves. User is responsible for the truthfulness, accuracy, and completeness of everything submitted to a funder in User's name, including any certifications, budgets, and statements of fact, and for reviewing materials before they are submitted.

6.2 Funding decisions are made solely by funders. Company does not guarantee that any application will be funded, that any funder will respond, or that any deadline or opportunity will be met or identified. Fees are not contingent on funding outcomes.

7. Not Professional Advice

7.1 The Service does not provide legal, tax, accounting, financial, investment, or compliance advice. Nothing in the Service or from Company personnel creates a professional-client relationship. User should consult a qualified professional before making decisions that depend on such advice, including decisions about grant compliance, reporting, and restricted funds.

8. Your Data Responsibilities

8.1 Sensitive Data. User agrees not to submit to the Service, or have agents collect, the following unless a feature is specifically designed for it: Social Security numbers or other government identification numbers; bank account, payment card, or other financial account numbers; protected health information as defined by HIPAA; records about specific clients, patients, or beneficiaries of User's programs (such as case files or intake records); information about children under 13; or any other information subject to heightened legal protection. Company is not a HIPAA business associate and does not sign business associate agreements. If User submits such information anyway, User does so at its own risk.

8.2 Information About Other People. User is responsible for having all rights, permissions, and consents needed to submit information about other people (such as staff, board members, donors, and program participants) to the Service and to have the Service process it.

8.3 Keep Your Own Copies. The Service is not a backup or records-retention system. User is responsible for keeping its own copies of important documents, submissions, and records.

8.4 Account Security. User is responsible for keeping its login methods secure, for the activity of everyone on its account, and for promptly removing people who should no longer have access. User must notify Company promptly at privacy@grantloop.com of any suspected unauthorized access.

9. An Early-Stage, Evolving Service

9.1 Company is a small, early-stage company, and the Service changes frequently. Features may be experimental, labeled or not as beta or preview, and may be changed, limited, or removed at any time, with or without notice.

9.2 No system is perfectly secure or reliable. Despite reasonable safeguards, the Service may experience security incidents, unauthorized access to data, data loss or corruption, software errors (including errors that show data to the wrong person), outages, and failures of the vendors we rely on. User understands and accepts these risks as a condition of using the Service. If a security incident affects User's data, Company will notify User as required by applicable law.

10. Fees and Payment

10.1 Paid plans and services are billed as described at purchase or in a separate agreement. Fees are payable in advance, are non-refundable except where required by law or stated in writing by Company, and do not include taxes, which User is responsible for.

10.2 Usage-based limits apply to plans as described in the Service. Company may change prices or plan limits with notice, effective at User's next billing period. Company may suspend the Service for non-payment.

11. Verification, Monitoring, and Technical Measures

11.1 User consents to Company's monitoring of interactions with the Service, including inputs, outputs, agent activity, usage patterns, timing, and frequency, for operating the Service, security, and enforcing these Terms.

11.2 Company may verify User's identity and organizational affiliation at any time through any means it deems appropriate, and User must provide accurate, complete, and up-to-date information when requested.

11.3 Company may use technical measures to detect suspicious activity, including device and browser fingerprinting, IP address monitoring, rate limiting, behavior analysis, and automated fraud detection, and may block access from networks or regions that pose a security risk. User agrees not to use anonymizing services to circumvent security measures, usage limits, or restrictions.

12. Liquidated Damages and Remedies

12.1 User acknowledges that violations of Sections 2.2, 3, or 15 would cause Company harm that is difficult to calculate. For any material violation of those Sections, User agrees to pay Company liquidated damages in an amount proportional to the harm caused, as reasonably determined, plus any actual damages proven by Company. These liquidated damages are a reasonable estimate of the harm and not a penalty.

12.2 Company may recover its reasonable costs of enforcing these Terms, including attorneys' fees. Company's remedies are cumulative and not exclusive.

13. Termination and Suspension

13.1 Company may suspend or terminate User's access to the Service at any time, with or without cause or notice, and may refuse service to anyone for any lawful reason.

13.2 User may stop using the Service at any time. Upon termination, User must stop using the Service, User keeps ownership of Outputs under Section 3.2, and User must delete or return Company confidential information on request. Company may delete User Content after termination in line with our Privacy Policy, so User should export anything it wants to keep first.

13.3 Sections that by their nature should survive termination will survive, including those on ownership, use of content and data, disclaimers, limitation of liability, indemnification, and dispute resolution.

14. Indemnification

14.1 User shall indemnify, defend, and hold harmless Company and its officers, directors, employees, contractors, agents, licensors, and suppliers from any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) User's violation of these Terms; (b) User's use of the Service, including actions agents take on User's behalf under Section 5; (c) User Content, and anything submitted to a funder or sent to anyone in User's name; (d) User's violation of any law or third-party right; or (e) any claim that User's use of the Service caused harm to a third party.

14.2 Company may assume the exclusive defense and control of any matter subject to indemnification, and User will cooperate. User shall not settle any such claim without Company's prior written consent.

15. Non-Competition and Non-Circumvention

15.1 During the term of this agreement and for two (2) years after, User shall not, directly or indirectly: (a) use any proprietary information, trade secrets, algorithms, methodologies, or confidential materials obtained through the Service to develop, create, or assist in creating any product or service that replicates or substantially imitates the Service; (b) reverse engineer, decompile, or otherwise attempt to derive the source code or underlying technology of the Service; or (c) solicit or hire any employee or contractor of Company for the purpose of developing a competing product or service.

15.2 This Section does not prohibit User from using other grant products or services or from working in the grant industry.

16. Disclaimer of Warranties

16.1 THE SERVICE, INCLUDING ALL OUTPUTS, AGENT ACTIONS, AND SERVICES PERFORMED BY COMPANY PERSONNEL, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

16.2 Company does not warrant that the Service will meet User's requirements, will be uninterrupted, timely, secure, or error-free, that data will not be lost, or that outputs, research, funder information, or contact information will be accurate, complete, current, or reliable.

16.3 No advice or information obtained from Company or through the Service creates any warranty not expressly stated in these Terms.

17. Limitation of Liability

17.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, FUNDING, GRANTS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE, INCLUDING: (a) use of or inability to use the Service; (b) any output, research, or information provided through the Service, or reliance on it; (c) any action taken or not taken by an AI agent; (d) any missed deadline, rejected application, or funder decision; (e) unauthorized access to, loss of, or alteration of User's data or transmissions, including through a security incident; (f) the conduct of any third party, including vendors, AI providers, websites, and connected services; or (g) any other matter relating to the Service. This applies even if Company has been advised of the possibility of such damages.

17.2 COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT USER PAID COMPANY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

17.3 These limitations are an essential part of the bargain between User and Company and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of them may not apply to User.

18. Dispute Resolution, Arbitration, and Class Action Waiver

18.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

18.2 Informal Resolution First. Before starting arbitration, a party must send the other a written description of the dispute and try in good faith to resolve it for thirty (30) days. Notices to Company go to privacy@grantloop.com.

18.3 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, in Wilmington, Delaware, or by video conference if the arbitrator allows. The arbitrator decides all issues, including whether any part of these Terms is void, voidable, or unenforceable, and may grant any relief a court could. The award is binding and may be entered as a judgment in any court of competent jurisdiction.

18.4 Exceptions. Either party may bring an individual claim in small claims court, and Company may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or the security of the Service. For any matter permitted in court, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction, and each party consents to them.

18.5 Class Action Waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.

18.6 Jury Waiver. To the extent any matter proceeds in court, each party waives any right to a jury trial.

18.7 Time Limit. Any claim arising out of or related to the Service or these Terms must be brought within one (1) year after it arose, or it is permanently barred.

18.8 Fees. The prevailing party in any arbitration or court proceeding is entitled to recover its reasonable attorneys' fees, costs, and expenses.

19. Equitable Relief

19.1 User acknowledges that a breach of these Terms may cause Company irreparable harm for which money damages would be inadequate, and that Company may seek injunctive relief, specific performance, and other equitable remedies without posting a bond and without showing actual damages.

20. Confidentiality

20.1 User shall keep confidential Company's non-public information, including algorithms, system prompts, agent instructions, datasets, internal methodologies, product plans, non-public pricing, and non-public business strategies disclosed to User in the course of using the Service.

20.2 This Section does not restrict User from: (a) disclosing that User is a customer; (b) discussing User's general experience with the Service; (c) providing testimonials or reviews; or (d) disclosing information that is or becomes public through no fault of User.

20.3 This obligation survives for three (3) years after termination. Breach of this Section is a material breach of these Terms.

21. Marketing and Publicity

21.1 Client Marks. Subject to Section 20, User grants Company a limited, non-exclusive, royalty-free license, for the duration of the relationship, to display User's name and logo on Company's website, product, investor materials, social media, and other marketing materials to identify User as a customer.

21.2 Testimonials. User authorizes Company to quote, paraphrase, and use testimonials, reviews, success metrics, and other statements User voluntarily provides in Company's marketing. Company may edit them for length or clarity without changing their meaning.

21.3 Opt-Out. User may revoke either license by written notice. Company will stop new uses within a commercially reasonable period but is not required to recall materials already created.

21.4 No Endorsement. Use of User's name, logo, or testimonials does not mean User endorses Company beyond what User actually said.

22. Third-Party Services and Connected Accounts

22.1 The Service relies on and links to third-party services, including AI providers, hosting providers, email providers, and services User connects (such as email, calendar, file storage, or accounting tools). Company does not control and is not responsible for third-party services, their availability, their content, or their privacy practices.

22.2 When User connects a third-party account, User authorizes Company to access and use data from that account as needed to provide the features User uses, within the permissions User grants. User may disconnect at any time. User's use of third-party services is governed by their terms.

23. Modifications to These Terms

23.1 Company may modify these Terms at any time. Company will give notice of material changes by posting the updated Terms, by email, or through the Service. User's continued use of the Service after changes take effect means User accepts them. If User does not agree, User's sole remedy is to stop using the Service.

24. General

24.1 Compliance and Export Control. User shall comply with all applicable laws, including export control and sanctions laws, and represents that it is not located in, or controlled by a national of, any country subject to a U.S. embargo.

24.2 Force Majeure. Company is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or utility failures, cyberattacks, and failures of third-party providers.

24.3 Assignment. User may not assign or transfer these Terms without Company's prior written consent. Company may assign these Terms without restriction, including in a merger, acquisition, or sale of assets.

24.4 Severability and Waiver. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms will remain in effect. Company's failure to enforce any provision is not a waiver.

24.5 Electronic Communications. User consents to receive communications electronically, and agrees that electronic notices satisfy any requirement that they be in writing.

24.6 Construction. Section titles are for convenience only. "Including" means "including without limitation."

24.7 User Representations. User represents that it has authority to agree to these Terms, that its use of the Service will not infringe any third party's rights or violate any law, and that information it provides is accurate.
